These Terms and Conditions govern the relationship between VegTech Systems (“we,” “us,” or “our”) and you (“Customer,” “you,” or “your”) regarding the purchase, sale, and delivery of fruit and vegetable processing and packaging equipment. By engaging with us, placing an order, or signing a contract, you agree to be bound by these Terms and Conditions. Please read them carefully before proceeding with any transaction.
1. Company OverviewVegTech Systems is a U.S.-based representative for European manufacturers, including but not limited to Bigtem and Gruppo Fabbri, specializing in industrial fruit and vegetable processing and packaging equipment. We facilitate sales, delivery, and support for equipment such as juicing lines, bottling systems, steam peelers, and packaging machinery in the U.S. market.
2. Scope of AgreementThese Terms and Conditions apply to all orders, quotations, sales, and services provided by VegTech Systems, including equipment manufactured by Bigtem, Gruppo Fabbri, or any other manufacturer we represent. Additional terms may apply as specified in individual contracts, quotations, or invoices, but these Terms and Conditions take precedence unless explicitly stated otherwise in writing.
3. Orders and Acceptance
- Order Placement: All orders must be submitted in writing via email to sales@vegtechsystems.com (sales@vegtechsystems.com) or through our official order forms. Verbal orders are not binding unless confirmed in writing by both parties.
- Order Confirmation: An order is considered accepted only after VegTech Systems issues a written confirmation (via email or signed contract). We reserve the right to reject any order at our discretion.
- Custom Orders: Equipment may be custom-designed to meet your specifications. Once an order for custom equipment is confirmed, it is final, subject to the cancellation terms below.
4. Pricing and Payment Terms
- Pricing: All prices are quoted in U.S. dollars (USD) and exclude taxes, shipping, installation, and additional services unless specified. Prices are subject to change without notice until an order is confirmed.
- Payment Terms:
- A deposit of 30% to 50% of the total order value, depending on project size, is required upon order confirmation. The exact percentage will be specified in the order confirmation based on the scope and complexity of the project.
- The remaining balance is due prior to shipment, net 30 days from invoice date, unless specified otherwise.
- Payments must be made via wire transfer, ACH, or other methods agreed upon in writing.
- Late Payments: Overdue payments will incur a late fee of 1.5% per month (18% annually) on the outstanding balance. We reserve the right to suspend delivery or services until payment is received.
- Taxes and Duties: The Customer is responsible for all applicable taxes, duties, and fees associated with the purchase, delivery, and import of equipment, unless otherwise stated.
5. Order Cancellation and Customer Responsibility for Costs
- Cancellation Policy:
- Orders may be canceled by the Customer only with written consent from VegTech Systems.
- If the Customer cancels an order after it has been confirmed, the Customer is liable for all costs incurred by VegTech Systems and/or the represented manufacturers (Bigtem, Gruppo Fabbri, or others) up to the point of cancellation. These costs include, but are not limited to:
- Manufacturing costs (materials, labor, and production).
- Engineering and design expenses for custom equipment.
- Shipping, handling, and storage fees.
- Administrative and restocking fees (up to 15% of the order value).
- The Customer must reimburse these costs within 15 days of receiving an invoice detailing the incurred expenses.
- Non-Refundable Deposits: The initial deposit (30% to 50%, based on project size) is non-refundable upon order confirmation, as it covers preliminary manufacturing and procurement expenses.
- Custom Equipment: Orders for custom-designed equipment are non-cancelable once production begins, as these items are specifically manufactured for the Customer and cannot be resold.
6. Delivery and Shipping
- Delivery Terms: All deliveries are Ex Works (EXW) from the manufacturer’s facility (typically in Europe) unless otherwise agreed in writing. The Customer is responsible for arranging and paying for shipping, insurance, and customs clearance to the U.S.
- Delivery Timeline: Estimated delivery times are provided in the order confirmation. Delays due to manufacturing, shipping, or unforeseen circumstances (e.g., customs delays, force majeure) are not the responsibility of VegTech Systems.
- Risk of Loss: Risk of loss or damage transfers to the Customer upon delivery to the carrier at the manufacturer’s facility (EXW terms). The Customer should inspect all equipment upon receipt and report any damage or discrepancies within 48 hours of delivery.
7. Installation and Commissioning
- Installation Services: Installation and commissioning services are not included unless specified in the order confirmation. Additional fees apply for on-site support, training, or setup.
- Customer Responsibilities: The Customer must ensure the site is prepared for installation (e.g., utilities, space, permits) as per the manufacturer’s specifications. Delays or additional costs due to unprepared sites are the Customer’s responsibility.
8. Warranty and Liability
- Manufacturer’s Warranty: Equipment is covered by the original manufacturer’s warranty (typically 12 months from delivery), as provided by Bigtem, Gruppo Fabbri, or other manufacturers. Warranty terms vary by manufacturer and will be provided upon request.
- Exclusions: The warranty does not cover damage due to misuse, improper installation, unauthorized repairs, or failure to follow maintenance guidelines.
- Limitation of Liability: VegTech Systems, as a representative, is not liable for equipment performance, defects, or damages. All claims must be directed to the manufacturer under their warranty terms. Our liability is limited to the value of the services we directly provide (e.g., order facilitation).
- Indirect Damages: VegTech Systems is not liable for indirect, consequential, or incidental damages, including but not limited to loss of profits, production downtime, or third-party claims.
9. Intellectual Property
- Ownership: All intellectual property rights related to the equipment, including designs, patents, and trademarks, remain the property of the manufacturers (Bigtem, Gruppo Fabbri, or others). The Customer may not copy, modify, or reverse-engineer any equipment.
- Use of Branding: The Customer may not use VegTech Systems’ or the manufacturers’ logos, trademarks, or names for any purpose without prior written consent.
10. Force MajeureVegTech Systems is not liable for delays or failures to perform due to events beyond our control, including but not limited to natural disasters, wars, strikes, pandemics, government regulations, or supply chain disruptions. In such cases, delivery timelines may be extended, and the Customer will be notified promptly.11. Governing Law and Dispute Resolution
- Governing Law: These Terms and Conditions are governed by the laws of the State of Illinois, USA, with venue in Chicago, Illinois, without regard to conflict of law principles.
- Dispute Resolution: Any disputes arising from these Terms or related transactions will be resolved through mediation in Chicago, Illinois. If mediation fails, disputes will be settled by binding arbitration in Chicago, Illinois, under the rules of the American Arbitration Association (AAA). Each party will bear its own legal fees.
12. ConfidentialityBoth parties agree to keep all proprietary information, including pricing, designs, and technical specifications, confidential and not disclose it to third parties without written consent, except as required by law.13. Returns and Refunds
- Non-Returnable: Equipment is non-returnable unless defective and covered under the manufacturer’s warranty.
- Defective Equipment: If equipment is defective upon delivery, the Customer must notify VegTech Systems within 48 hours. We will coordinate with the manufacturer for repair or replacement under warranty terms.
14. Compliance with LawsThe Customer is responsible for ensuring compliance with all applicable U.S. federal, state, and local laws, including import regulations, safety standards, and environmental requirements in Illinois and beyond. Equipment must be used in accordance with manufacturer guidelines and local regulations.15. AmendmentsVegTech Systems reserves the right to update these Terms and Conditions at any time. The updated version will be posted on our website (www.vegtechsystems.com, if applicable) and will apply to all orders placed after the update.
